Terms of service

The terms on which Ready4KI is provided.

1.Scope and parties

These terms govern the contract between {{legalName}} ("Ready4KI", "we") and the customer ("you").

The service is directed exclusively at businesses, public bodies and professionals acting in the exercise of their trade. It is not offered to consumers. Conflicting or supplementary terms of the customer do not apply unless we agree to them in writing.

2.Services

Ready4KI provides a diagnostic assessment and a resulting report, in tiers:

  • Insight: report sections 1–5, purchased directly through the website.
  • Blueprint: adds report sections 6–15, agreed individually.
  • Executive: adds report sections 16–21, agreed individually.
  • Operating Partner: a recurring advisory engagement, agreed individually.

The scope of each tier is described on the pricing page and, for individually agreed tiers, in the written scope accompanying the offer.

3.Conclusion of contract

For Insight, the contract is concluded when you complete the checkout and the payment is confirmed. You receive an order confirmation by email.

For all other tiers, the contract is concluded when both parties accept a written scope and price.

4.Prices and payment

Prices are stated exclusive of VAT unless indicated otherwise. VAT is added where applicable; for business customers in the EU with a valid VAT ID, the reverse charge applies.

Payment for Insight is due immediately at checkout, processed by Stripe. Invoices for individually agreed tiers are payable within {{paymentTerms}} of invoice date.

Prices shown on the website while marked indicative or draft are not binding offers. The binding price is the one shown at checkout or in your written scope.

5.Right of withdrawal

Because the service is directed at businesses and not consumers, no statutory right of withdrawal applies.

As a matter of practice: if you have purchased Insight and have not started the assessment, contact us and we will refund it. Once the report has been generated from your answers it cannot be returned, since it is produced individually for you.

6.Your obligations

The quality of the report depends on the quality of the answers. You undertake to provide accurate information to the best of your knowledge and to route questions to people who can answer them.

You are responsible for keeping account credentials confidential and for the acts of users you invite into your organisation workspace.

7.Deliverables and rights of use

You receive a non-exclusive, non-transferable right to use the report within your own organisation, including with your advisors, for an unlimited period.

The methodology, question sets, models, benchmarks and templates behind the report remain our intellectual property. Publishing the report externally, or reselling it, requires our written consent.

We may use anonymised, aggregated data derived from assessments to improve benchmarks, provided no single organisation can be identified.

8.Availability

We aim for high availability but do not warrant uninterrupted access. Maintenance is scheduled outside business hours where possible.

The assessment application is operated as a separate service; deep links from your dashboard depend on its availability.

9.Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory statutory provisions.

For slight negligence we are liable only for breach of a material contractual obligation, and limited to the foreseeable damage typical for this type of contract. Liability is capped at the fees paid for the engagement concerned.

The report is a decision-support document. It does not constitute legal, tax or investment advice, and the figures in it are estimates based on your own answers.

10.Confidentiality

Each party keeps the other's confidential information confidential and uses it only for the purpose of the engagement. This survives the end of the contract.

We do not name you as a customer publicly without your written consent.

11.Term and termination

Insight, Blueprint and Executive are one-time engagements that end when the deliverable is provided.

Operating Partner runs for the agreed term and may be terminated by either party with {{opNoticePeriod}} notice to the end of a billing period. The right to terminate for cause remains unaffected.

12.Data protection

Processing of personal data is described in the privacy policy. Where we act as a processor on your behalf, the data processing addendum applies and forms part of this contract.

The UN Convention on Contracts for the International Sale of Goods does not apply.

14.Changes to these terms

We may amend these terms for future contracts. The version in force at the time of your order applies to that order. For recurring engagements we announce changes at least {{termsNotice}} in advance; you may terminate to the effective date if you do not accept them.

This document is provided by Ready4KI for its own service. It is not legal advice, and it is under review by counsel before launch. Fields shown in braces are pending that review.
